Terms & Conditions

1. Scope
These Terms apply to all sales of digital products, online courses, in-person training, and professional services offered by Guenix Digital, including:
- Digital communication consulting (Print, SEO, GEO, AEO, digital marketing)
- Business consulting (digital strategy, marketing, communication, and related services)
- Training (digital strategies, data marketing, communication, and associated services)
- Online sales of digital products related to marketing, communication, and data
- Project management (digital and data projects)
- Strategic consulting (digital strategy, data marketing, communication, and marketing)
We serve B2C consumers and B2B businesses in France, the EU, and internationally. Any order, online purchase, or signed quotation constitutes full acceptance of these Terms.
2. Products & Services
Guenix Digital provides:
2.1 Digital Products: ebooks, guides, toolkits, prompt packs, templates, and data resources delivered electronically.
2.2 Online Training: self-paced modules via LearnDash.
2.3 On-site Training: corporate or educational interventions (technical/pedagogical expertise; not state-certified e.g., Qualiopi).
2.4 Consulting & Strategy: digital strategy, marketing, communication, data marketing, SEO/AEO/GEO audits, and digital project management.
2.5 Digital Print Files: delivery of design files only; printing and physical production are the Customer’s responsibility.
3. Ordering & Payment
3.1 Digital Sales: processed via SureCart; paid in full via Stripe before access.
3.2 Service Quotations: written signature required; 30–50% deposit may be requested before work begins.
3.3 Ads Management: Customer provides “Partner” access to their Business Manager accounts (Google, Meta, etc.). Ad budgets are paid directly by the Customer to the platforms.
4. SEO/AEO/GEO Retainers
4.1 Minimum Commitment: 3 months.
4.2 Renewal: automatic month-to-month renewal after the initial term.
4.3 Cancellation: permitted after 3 months with one (1) month prior written notice via email; any month started is due in full.
5. Digital Delivery & Right of Withdrawal (B2C)
5.1 Immediate Access: access to digital products and courses is granted upon payment.
5.2 No Withdrawal Right – digital content: under Article L221-28 of the French Consumer Code, the withdrawal right does not apply to digital content supplied immediately; by completing the purchase, the Customer expressly waives this right.
5.3 Service Provision: for consumers, a 14-day withdrawal period may apply unless performance begins immediately. If the Customer requests performance before expiry, they acknowledge losing the withdrawal right once the service is fully performed. B2B Customers have no withdrawal right.
6. Refund Policy
Digital Products & Online Courses: Due to the nature of digital content, all sales are final once access is granted. By purchasing, you acknowledge that you gain immediate access to the content and expressly waive your right of withdrawal.
Service Subscriptions (SEO/Marketing): Payments for the current month are non-refundable. If you cancel your subscription, the service will continue until the end of the paid period, and no further charges will be made.
On-site Training & Consulting:
- Cancellations made by the client more than 14 days before the scheduled date may be eligible for a full refund.
- Cancellations made within 7 to 14 days are subject to a 50% cancellation fee.
- No refunds are provided for cancellations made less than 7 days before the service date.

7. International Orders (Non-EU)
7.1 Taxes: services to non-EU Customers are invoiced without French VAT; the Customer is responsible for local taxes, customs duties, or withholdings.
7.2 Compliance: the Customer ensures purchased products/services comply with local regulations.
8. Customer Obligations
Customer must: (i) provide accurate information; (ii) hold required authorizations (ad accounts, technical access); (iii) comply with applicable laws (including GDPR for any data shared with Guenix Digital).
9. Intellectual Property & Licensing
9.1 Digital Products & Training: non-exclusive, non-transferable license for personal or internal business use. Resale, redistribution, unauthorized sharing are prohibited.
9.2 Custom Deliverables: unless otherwise agreed in the quotation/contract, an internal-use license is granted; methodologies, know-how, templates, and libraries remain Guenix Digital’s property.
10. Confidentiality
Both Parties shall keep confidential non-public information exchanged during the engagement, during and for 5 years after termination.
11. Data Protection
11.1 Roles: Guenix Digital acts as a data controller for its own activities (website, marketing, billing) and as a processor when processing data on the Customer’s behalf.
**11.2 The Customer remains responsible for the lawfulness of data shared and instructions provided.
12. Warranties & Liability
12.1 Best-efforts: Guenix Digital provides expertise and reasonable efforts; no guarantee of specific results (e.g., rankings, ROI) due to third-party algorithms and market conditions.
12.2 Limitation: total liability is limited to fees paid by the Customer during the preceding 12 months. No liability for indirect damages (lost revenue, data, opportunities).
12.3 Third-party platforms: Guenix Digital is not liable for outages or changes in third-party APIs/algorithms (Google, OpenAI, Meta, etc.).
13. Subcontracting
Guenix Digital may use qualified subcontractors while remaining responsible for contractual compliance.
14. Force Majeure
No Party shall be liable for events beyond reasonable control (e.g., prolonged payment processor failures, disasters, conflicts, large-scale cyberattacks).
15. Pricing, Invoicing & Payment
Prices are in EUR. Guenix Digital applies the French VAT exemption scheme under Article 293 B of the French Tax Code: VAT not applicable.
For B2B customers located in the EU (outside France), intra-community VAT may apply under reverse charge rules.
Invoices are due per stated terms. Late payments may incur legal interest and fixed recovery fees.
16. Termination
For material breach not cured within 15 days after written notice, the non-breaching Party may terminate. Amounts due for periods started remain payable.
17. Governing Law, Mediation & Jurisdiction
These Terms are governed by French law.
Consumer mediation is available per Article L612-1 of the French Consumer Code; access the EU’s Online Dispute Resolution (ODR) platform.
Failing amicable resolution, disputes fall under the exclusive jurisdiction of the courts of Nantes, France.
18. Changes to the Terms
Guenix Digital may update these Terms; the last updated date appears above. The version in force is the one published at the time of order.
